1. Acceptance of Terms

By accessing and using VoltVerse ("the Platform"), you accept and agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, please do not use our services.

2. Definitions

  • "We," "us," or "our" refers to VoltVerse and its affiliates.
  • "User," "you," or "your" refers to any individual or entity using our services.
  • "Content" includes all text, images, software, and other materials available on or submitted to the Platform.
  • "Business User" means a seller or professional using the marketplace or other business features.
  • "Illegal Content" means information that relates to illegal activities or infringements under applicable law, including the EU Digital Services Act.

3. Eligibility and Accounts

3.1. You must be at least 16 years old to use VoltVerse. If you are between 13 and 16 years old, you may use the Platform only with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You agree to provide accurate, complete, and current information when creating an account and to update your information as necessary.

3.4. You may not create multiple accounts to evade enforcement, nor may you use another person's account without permission.

4. User Conduct

4.1. You agree not to:

  • Violate any applicable laws or regulations, including the EU Digital Services Act and national consumer protection laws
  • Post, sell, or promote Illegal Content, counterfeit goods, or unsafe products
  • Infringe on intellectual property rights or other proprietary rights
  • Distribute malicious software, viruses, or harmful code
  • Engage in unauthorized data collection, scraping, or harvesting of user data
  • Interfere with or disrupt the Platform's operation, security, or availability
  • Impersonate another person or misrepresent your affiliation
  • Engage in fraudulent transactions, including on the marketplace

5. Content Moderation and Illegal Content

5.1. We may moderate Content to comply with applicable laws, protect users, and enforce these Terms. Moderation may use automated tools to flag or prioritise Content for human review, but final decisions are made by human moderators.

5.2. You can report Illegal Content or Terms violations through the reporting tools available on the Platform or by contacting support@voltverse.com. We will process reports in good faith and inform you of the outcome where required by the EU Digital Services Act.

5.3. If we remove or restrict your Content or account based on a suspicion of illegal activity, we will notify you and explain the reason, unless prohibited by law or necessary to protect an investigation.

5.4. You have the right to appeal moderation decisions. Appeals must be submitted through the appeal process described in our moderation notices or by contacting our support team. We will respond within a reasonable timeframe and, where applicable, in line with the Digital Services Act.

5.5. We may cooperate with competent authorities and trusted flaggers, as permitted by the Digital Services Act, to address Illegal Content efficiently.

6. Marketplace and Business Users

6.1. Business Users offering products or services on the marketplace must comply with the EU Platform-to-Business Regulation (Regulation (EU) 2019/1150), the General Product Safety Regulation (Regulation (EU) 2023/988), consumer protection laws, and any other applicable rules.

6.2. Product listings must be accurate, complete, and not misleading. Sellers are responsible for ensuring that products are safe, lawful, and properly labelled for the intended market.

6.3. We provide information about the main parameters used to rank and recommend products and listings. We do not, as a general rule, manipulate rankings in a way that is unfair or contrary to the P2B Regulation.

6.4. We may suspend or terminate a Business User account for repeated infringements, illegal listings, or serious breaches of these Terms.

6.5. Disputes between buyers and sellers should first be resolved directly. We may provide dispute assistance tools, but VoltVerse is not a party to marketplace transactions unless explicitly stated.

7. Intellectual Property

7.1. All platform content, trademarks, and software not submitted by users are owned by or licensed to VoltVerse.

7.2. You retain ownership of Content you submit, but you grant VoltVerse a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your Content on the Platform for the purpose of operating and promoting the Platform.

7.3. You may not reproduce, distribute, or create derivative works of our platform content without permission, except as permitted by applicable law.

8. AI-Generated and Automated Content

8.1. Where VoltVerse uses AI systems or automated tools to generate, rank, recommend, or moderate Content, we will disclose this clearly where required by the EU AI Act or the Digital Services Act.

8.2. Users may not use AI-generated content to deceive other users, spread disinformation, or generate illegal or harmful material.

8.3. Decisions that produce legal or similarly significant effects are subject to human review upon request, as described in our Privacy Policy.

9. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated by reference. The Privacy Policy explains how we collect, use, store, and protect your personal data, including your rights under GDPR, the Data Act, and the AI Act.

10. Consumer Rights and Withdrawal

10.1. If you are a consumer in the European Union, you have the right to withdraw from distance contracts for digital content, digital services, or goods within 14 days without giving any reason, unless the right has been waived or an exception applies.

10.2. For digital content or services supplied immediately upon request, you may lose the right of withdrawal if you expressly consent to immediate performance and acknowledge that this means you can no longer withdraw.

10.3. Premium memberships and marketplace orders are subject to the cancellation and refund terms displayed at the point of purchase.

11. Limitation of Liability

11.1. VoltVerse is provided "as is" and "as available" without warranties of any kind, except as required by applicable law.

11.2. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

11.3. To the extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages.

11.4. Our total liability to any user shall not exceed the amount paid by that user to VoltVerse in the 12 months preceding the event giving rise to liability, or EUR 100 if no payment has been made.

12. Termination

12.1. We may terminate or suspend your account at our discretion, in particular for breaches of these Terms or applicable law.

12.2. You may stop using our services and delete your account at any time through the account settings or by contacting support.

12.3. Upon termination, provisions that by their nature should survive termination will continue to apply, including intellectual property, liability, and dispute resolution clauses.

13. Changes to Terms

13.1. We may modify these Terms at any time to reflect changes in law, our services, or our policies.

13.2. We will notify users of material changes by posting a notice on the Platform or by other appropriate means. Continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.

13.3. Material changes to provisions affecting consumers or Business Users will be provided with reasonable advance notice where required by law.

14. Dispute Resolution

14.1. We encourage you to contact us first if you have a dispute. We will make good-faith efforts to resolve issues informally.

14.2. EU consumers may have access to out-of-court dispute resolution bodies in their Member State. Information about such bodies is available from the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.

14.3. We are not obligated to participate in alternative dispute resolution procedures under the EU Consumer ADR Directive, but we may choose to do so in our discretion.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any mandatory provisions of the law of your country of habitual residence, including EU consumer protection, data protection, and digital services laws, remain unaffected.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced by a valid provision that most closely reflects the original intent.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VoltVerse regarding the Platform.
